Recent changes to Massachusetts LLC law—Make sure you have the latest information
Massachusetts lawmakers amended the state’s limited liability act during the latest session to allow a dissolved limited liability company to continue to conduct any business necessary to wind up its affairs or distribute its assets, even if it has filed a certificate of cancellation. Before this amendment was passed, LLCs in the state could conduct a limited set of wind-up activities only up until a certificate of cancellation was filed.
This and other recent changes to Massachusetts business law are captured in the 2015 Edition of Massachusetts Laws Governing Business Entities, releasing this month. Published by CSC®Publishing in collaboration with LexisNexis, this resource is the most comprehensive collection of annotated Massachusetts business statutes available.
The 2015 Edition is updated through Acts 2015, chapter 19, and features all the latest amendments to the Massachusetts business law, as well as new case annotations from Massachusetts courts. In addition, we have broadened the scope of the book to include Articles 1 and 9 of the Uniform Commercial Code, covering Secured Transactions.
Also included are five full-text cases covering recent legal developments regarding closely held corporations, fair dealing, liability of dissolved corporations for debts, derivative actions, and piercing the corporate veil.
Other resources include the Massachusetts Business Fee Schedule and a companion CD-ROM containing more than 160 Massachusetts forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types. A listing of the forms and contact information for the Massachusetts Division of Corporations can be found in Appendix C.
