Recent changes to Massachusetts LLC law—Make sure you have the latest information

Massachusetts lawmakers amended the state’s limited liability act during the latest session to allow a dissolved limited liability company to continue to conduct any business necessary to wind up its affairs or distribute its assets, even if it has filed a certificate of cancellation. Before this amendment was passed, LLCs in the state could conduct a limited set of wind-up activities only up until a certificate of cancellation was filed.MA-LLC-Law-2015
