A UCC-1 form, also called a UCC-1 financing statement, is used to perfect a security interest in a debtor’s personal property. Filing this document gives creditors a legal claim—or lien—on specific business assets if the debtor defaults. To ensure the filing is valid and enforceable, it must include the exact legal name and address of the debtor, the creditor’s information, and a detailed description of the collateral. A UCC-3 form is a UCC financing statement amendment, used to modify or update an existing UCC-1 filing. UCC-3 filings are used to amend, continue, terminate, or assign previously recorded security interests. For example, an amendment might update the debtor’s name, adjust the secured party, or revise the collateral description.
